Terms of Use

These Terms of Use govern your access to and use of the Equidux website, mobile application, and related investment services (collectively, the "Platform"), operated by Apel Asset Limited.

By creating an account, accessing, or using the Platform, you agree to be bound by these Terms of Use, our Privacy Policy, and any product-specific terms applicable to the investments you select.

If you do not agree to these terms, you must not use the Platform.

Equidux is a digital investment platform that provides access to mutual funds, securities trading, market data, and related financial services. The Platform is powered by Apel Asset Limited, a fund and portfolio management company licensed and regulated by the Securities and Exchange Commission (SEC) of Nigeria.

References to "Equidux", "we", "us", or "our" in these terms refer to Apel Asset Limited and its affiliates within the Apel group, unless the context requires otherwise.

To use Equidux, you must be at least 18 years of age, legally capable of entering into binding contracts under Nigerian law, and resident in a jurisdiction where our services are available.

You must provide accurate, complete, and current information during registration and keep your account details up to date at all times.

You are required to complete our Know Your Customer (KYC) and Anti-Money Laundering (AML) verification process before accessing certain investment services. This may include submission of identity documents, proof of address, Bank Verification Number (BVN), and other information required by SEC Nigeria and applicable regulations.

We reserve the right to suspend, restrict, or terminate accounts that fail verification, provide false information, or are suspected of fraudulent or unlawful activity.

You are solely responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your account.

Equidux provides access to investment products including mutual funds, equities, fixed income instruments, and other securities as made available on the Platform from time to time. Availability of products may vary based on regulatory approvals, market conditions, and your investor profile.

Information on the Platform—including market data, research, charts, and educational content—is provided for general informational purposes only and does not constitute investment advice, a recommendation, or a solicitation to buy or sell any security.

All investment decisions are made at your own discretion and risk. You should carefully review product prospectuses, fund factsheets, and risk disclosures before investing.

Fees applicable to your use of the Platform and specific investment products—including management fees, transaction charges, custody fees, and other applicable costs—will be disclosed in the relevant product documentation and on the Platform before you confirm any transaction.

We reserve the right to update fee schedules in accordance with regulatory requirements and product terms. Material changes will be communicated through appropriate channels.

All investments carry risk. The value of your investments can rise or fall, and you may receive less than your original investment. Past performance is not indicative of future results.

Specific risks associated with each product—including market risk, liquidity risk, currency risk, and interest rate risk—are described in the relevant offering documents. You acknowledge that you have read and understood these risks before investing.

Equidux does not guarantee any specific return on investment unless expressly stated in the applicable product terms.

All content on the Platform—including logos, trademarks, text, graphics, software, and data compilations—is owned by or licensed to Apel Asset Limited and protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, or create derivative works from any Platform content without our prior written consent.

You agree to use the Platform only for lawful purposes and in compliance with all applicable laws and regulations, including SEC Nigeria rules and CBN guidelines.

You must not attempt to gain unauthorised access to the Platform, interfere with its operation, use automated systems to extract data without permission, or engage in any activity that could harm Equidux, other users, or the integrity of the financial markets.

To the fullest extent permitted by law, Apel Asset Limited and its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of the Platform or any investment decisions made based on information provided through it.

Our total liability for any claim arising from these Terms of Use or your use of the Platform shall not exceed the fees paid by you to us in the twelve (12) months preceding the claim, except where liability cannot be excluded under applicable Nigerian law.

You may close your account at any time by contacting us, subject to the settlement of any outstanding obligations and compliance with applicable regulatory requirements regarding the transfer or liquidation of holdings.

We may suspend or terminate your access to the Platform if you breach these Terms of Use, fail to meet regulatory requirements, or if continued provision of services is prohibited by law or regulatory directive.

These Terms of Use are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising from or relating to these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria, unless otherwise required by applicable regulation.

Nothing in this section limits your rights under applicable consumer protection or financial services regulations.
